Terms of service

These terms of service (the “Terms”) set out the conditions for using Jidosei, the AI assistant service provided by WELLSHARE Co., Ltd. (“we”), including the web app, mobile apps, cloud computers and related websites (the “Service”). Everyone who uses the Service (“you”) agrees to these Terms.

1. Accounts

  1. You must register with accurate information and keep your sign-in details secure.
  2. The Service is for people aged 16 or over. Minors need the consent of a parent or guardian.
  3. If you use the Service for a business (including a team space), the person who creates the account confirms they are authorised to accept these Terms for that business.

2. The Service

  1. The Service provides AI conversation, task execution, a dedicated cloud computer, memory, skills and team collaboration. Features depend on your plan.
  2. We may change, add or end features to improve the Service. We will tell you in advance, in the Service or by email, about changes that significantly affect you.

3. AI output

  1. AI output is generated automatically and may be inaccurate, incomplete or infringe others' rights. Check it yourself before relying on it for important decisions, including legal, medical, financial or safety matters.
  2. Actions you have the AI take on your cloud computer or in other services (such as sending email, making purchases or deleting files) are done on your instructions and are your responsibility. We ask for confirmation before important actions, but the final check is yours.

4. Your content

  1. You (or the rightful owner) keep all rights in what you input and in the outputs the AI creates for you. We claim no rights in them.
  2. You allow us to store, process and transmit your content as needed to provide, maintain and secure the Service. We do not use your content to train AI models.
  3. You confirm you have the rights needed for the content you input.

5. Prohibited conduct

You must not:

  1. break the law or public order, or act in connection with crime;
  2. infringe others' rights, including copyright, trademarks and privacy;
  3. use the Service or a cloud computer to send spam, gain unauthorised access, scan ports, launch denial-of-service attacks, create or distribute malware, or mine cryptocurrency;
  4. bypass the Service's security, usage limits or billing;
  5. use someone else's account, or transfer, lend or sell an account;
  6. use the Service for child sexual exploitation, incitement to violence, discrimination, election manipulation, mass disinformation or other harmful purposes;
  7. breach the usage policies of the AI model providers; or
  8. do anything else we reasonably consider inappropriate.

6. Third-party services and skills

External services you connect, and skills made by third parties, are subject to their providers' terms. We tell you before you install a third-party skill, but we do not guarantee its safety or behaviour; you use it at your own judgement.

7. Fees and payment

  1. The Service has a free allowance and paid plans and top-up balances. Prices, the free allowance and payment methods are as shown in the Service. Prices include tax.
  2. Paid plans renew automatically for the same period until cancelled and are charged at the start of each period.
  3. Fees for a team space are paid by the user who created it (the founder).
  4. We may change prices. We will give at least 30 days' notice of a price increase for a paid plan, and you may cancel before it applies.

8. Cancellation and refunds

  1. Paid plans: you can cancel at any time in the Service. Cancellation takes effect from the next renewal date and you keep the paid plan until then. We do not give pro-rated refunds for cancelling mid-period.
  2. Top-up balances: purchased balances can only be used to pay for the Service and, under Japan's Payment Services Act, cannot be refunded except where the law allows. A balance is valid for 180 days from purchase.
  3. Free allowance, redemption codes and promotions: these have no cash value and cannot be refunded, exchanged or transferred. They expire as stated.
  4. Exceptions: we will refund or otherwise make it right where (a) we could not provide the Service for a significant period for reasons attributable to us, (b) you were charged twice or in error, or (c) the law requires a refund.
  5. Consumers in the EU, EEA and UK: you may withdraw from a paid plan within 14 days of purchase without giving a reason. If you asked us to start the service during that period, we refund the price less an amount proportionate to the service already provided.
  6. Account deletion: when you delete your account, any unused balance, free allowance and promotions expire, except amounts refundable under the paragraphs above.

9. Suspension and termination

If you breach these Terms, fail to pay, or risk harming the Service or others, we may without prior notice stop your cloud computer, cut its network access, or suspend or delete your account. Except in emergencies, we will tell you why where we can.

10. Interruptions

We may temporarily interrupt all or part of the Service for maintenance, faults, natural disasters, network or supplier problems or other unavoidable reasons. Please keep your own backups of data on your cloud computer.

11. Disclaimer and limitation of liability

  1. We do not guarantee that the Service fits your particular purpose, that AI output is accurate, or that the Service will be uninterrupted.
  2. Where we are liable to you, except in cases of our wilful misconduct or gross negligence, our liability is limited to ordinary damage actually incurred and to the total fees you paid us in the 12 months before the month in which the damage occurred.
  3. This section does not apply to the extent it is invalid under Japan's Consumer Contract Act or other mandatory law.

12. Personal data

We handle your personal data in accordance with our privacy policy.

13. Changes to these Terms

We may change these Terms as permitted by the Japanese Civil Code. We will announce the change and its effective date in advance in the Service or on our website.

14. Governing law and jurisdiction

These Terms are governed by Japanese law. The Tachikawa Branch of the Tokyo District Court has exclusive jurisdiction at first instance over disputes about the Service. This does not limit any right you have as a consumer under the law of your country of residence, including the right to sue in its courts.
